The CWCA Rules

RULE 1.

The name of the club shall be the Cardigan Welsh Corgi Association, hereinafter referred to as the Association, it's aims and objectives being to promote the well-being, breeding and exhibiting of the Cardigan Welsh Corgi, and to further the knowledge of and interest in the breed. The Association shall form Branches as and when necessary.

RULE 2.

The Association shall consist of an unlimited number of members. A list of members and their addresses will be made available for inspection if so requested by the members of the Association or by the Kennel Club. All new members shall be accepted provisionally on payment of the annual subscription, and their election shall be confirmed by a majority vote at the next Committee Meeting following. In the event of the election not being confirmed the subscription shall be returned in full. Members are required to abide by the CWCA Code of Ethics.

RULE 3. 

The affairs of the Association shall be vested in an Hon. President and a Committee consisting of a Chairman, a Vice-Chairman, Hon. Secretary, Hon. Treasurer and twelve members with power to co-opt a specialist in any field, or to fill any vacancy that may occur. The Committee shall retire annually but will be eligible for re-election. All nominees for this Committee shall have been members of the Association for the previous 12 months. The Secretary, Treasurer and Auditors shall be appointed by the Committee and confirmed at the Annual General Meeting. The Secretary and Treasurer shall be ex-officio members of the Committee. The Chairman and Secretary of a Branch shall be ex-officio members of, and represent Branch interests on, the Association Committee. If either is unable to serve on the Association Committee the Branch may nominate a replacement for the year. All other nominations, which must be signed by two members of the Association other than the nominee, whose consent must be obtained in writing, shall be received by the Secretary 42 days prior to the AGM. Election shall be by secret ballot at the AGM by the attending membership. When members are standing for re-election attendance at Committee Meetings throughout the previous year will be indicated. Meetings shall be called by the Secretary in collaboration with the Chairman at such times as the business on hand necessitates, giving the Committee Members at least 14 days notice in writing of the date, time, venue and Agenda.

A quorum shall consist of two executive officers (Chairman, Vice-Chairman, Secretary or Treasurer) and four Committee Members.

All members of the Committee elected to the Committee to fill vacancies shall only serve the unexpired period of office. The term `year' includes the period between one AGM and the following AGM.

RULE 4.

All members shall receive in writing, not less than 42 days notice of the Annual General Meeting. Any nominations and resolutions to be placed on the agenda, duly proposed and seconded, to be received in writing by the secretary not less than 28 days prior to the AGM, and members to receive notice of nominations and resolutions not less than 14 days prior to the AGM.

The financial year of the Association shall be from January 1st to December 31st and the Annual General Meeting shall:-

  1. be held early in the year.
  2. elect all appropriate Officers and Committee for the ensuing year.
  3. confirm the appointment of the Secretary, Treasurer and Auditors for the ensuing year.
  4. receive certified accounts for the preceding year. Certification of Accounts must be carried out by one qualified accountant or two unqualified individuals with accounting experience. A statement of accounts shall be furnished to all members prior to the AGM.
  5. transact such business as the Kennel Club Rules permit.

RULE 5. 

Special General Meetings may be called specifying the exact business of the meeting at which discussion  must be confined by:-

  1. a requisition signed by 20 members.
  2. the Committee.

21 days notice of such a meeting shall be sent to all members.

RULE 6. 

The annual subscription shall be such amount as agreed by members in General Meeting and notified to the Kennel Club. In addition to the basic single subscription, joint membership is to be available to households at the full membership subscription for the first person and a reduced sum for each additional adult, who have full voting rights of membership. There shall be junior membership up to the age of 15 years but junior members to have no voting powers. Subscriptions shall be paid on or before 31st January each year. No members shall be permitted to compete for any of the Association trophies or to vote, unless his subscription has been paid. Any person neglecting payment shall be advised by the Treasurer, and if subscriptions be not paid within four weeks of the date of such a reminder, the Committee deems such membership terminated. Re-admission will be dependent upon a new application.

RULE 7. 

All subscriptions of fifty times the current annual subscription shall be eligible for Life Membership.

RULE 8. 

Banking Accounts shall be opened in the name of the Association into which all revenue of the Association shall be paid, and from which withdrawals shall only be made on the signature of 2 Officers, one of which shall be the Treasurer.

RULE 9. 

Any members who shall be suspended under Kennel Club Rule A42j(4) and/or any members whose dog(s) is/are disqualified under Kennel Club Rule A42j(8) shall ipso facto cease to be a members of the Society for the duration of the suspension and/or disqualification. If the conduct of any member shall, in the opinion of the Committee of the Association, be injurious or likely to be injurious to the character or interests of the Association, the Committee of the Association may, at a meeting the notice convening which includes as an object the consideration of the conduct of the Member, determine that a Special General Meeting of the Society shall be called for the purpose of passing a resolution to expel him/her.

Notice of the Special General Meeting shall be sent to the accused Member, giving particulars of the complaint and advising the place, date and hour of the Meeting that he/she may attend and offer an explanation. If at the Meeting, a resolution to expel is passed by a two thirds majority of the Members present and voting, his/her name shall forthwith be erased from the list of Members, and he/she shall thereupon cease for all purposes to be a Member of the Association except that he/she may, within two calendar months from the date of such Meeting, appeal to the Kennel Club upon and subject to such condition as the Kennel Club may impose.

If the Association expels any member for discreditable conduct in connection with dogs, dog shows or trials, the Association will report the matter in writing to the Kennel Club within seven days and supply particulars required.

RULE 10. 

Minutes of all meetings shall be recorded and those of the last meeting shall be signed as a correct record at the subsequent equivalent meeting.

RULE 11. 

The Committee shall have the power to deal with and dispose of any urgent matter that may arise and which is not provided for in these Rules. In the event of an emergency arising, an emergency Committee shall be formed consisting of the Chairman, Vice-Chairman, Secretary, Treasurer and at least four Committee Members to settle all matters appertaining thereto.

RULE 12. 

The Association cannot dissolve without the consent of the members in writing and confirmed at two Special General Meetings at which some person or persons shall be appointed to dispose of the property of the Association to the best advantage and the proceeds, together with any surplus funds, shall be donated to some charity as may be decided. In the event of dissolution all Challenge Cups and Trophies in the outright ownership of the Association shall be disposed of at the discretion of the Committee.

The Kennel Club shall be informed of the outcome of the Meetings and a final statement of accounts with a record of the disposal of the property of the Association shall be forwarded to the Kennel Club within six months, the persons named as Officers and Committee of the Association in the last Returns to the Kennel Club being responsible to the Kennel Club for the proper winding up of the Association.

RULE 13. 

In all matters of dispute the decision of the Kennel Club shall be final.

RULE 14. 

The Association will produce a list of Judges each year which will be submitted to the Kennel Club as part of the Association's Annual Returns. Judges Lists will be divided into parts A1, A2, and B according to Kennel Club Criteria and will indicate the date on which the list will expire.

RULE 15. 

The Rules of the Association shall not be altered except at an AGM or a Special General Meeting, and such alterations shall not be brought into force until the Kennel Club has been advised and given its approval of the alterations.

RULE 16. 

The Association shall not join any federation of Societies or Clubs.

RULE 17. 

The Officers acknowledge that during the month of January each year, Maintenance of Title fee will be forwarded to the Kennel Club by the Secretary for continuance of Registration and that by 31st July each year, other Returns, as stipulated in Kennel Club Regulations for the Registration and Maintenance of Title of Societies and Breed Councils and the Affiliation of Agricultural Societies and Municipal Authorities, be forwarded to the Kennel Club.

The Officers also acknowledge their duty to inform the Kennel Club of any changes of Secretary of the Society which may occur during the course of the year.

RULE 18. 

No person whilst an undischarged bankrupt may serve on the Committee of or hold any other Office or Appointment within this Association.
